ASSEMBLY RESOLUTION F-09-008
A RESOLUTION TO FORM A CONSTITUTIONAL CONVENTION AND TO SET ITS OPERATING PROCEDURES

WHEREAS, the All Campus Constitution servers as the written point of authority for all student governance at the University of Michigan’s Ann Arbor campus; AND
WHEREAS, the Student Body has, from time to time, rewritten its All Campus Constitution to affect significant change to its from of self-governance, most recently in 1986; AND
WHEREAS, the 1986 All Campus Constitution has been amended on numerous occasions, most recently in March of 2009 to accommodate a piecewise approach to changing the central student government’s structure; AND
WHEREAS, article VIII section C of the All Campus Constitution states “Amendments to this Constitution may also be initiated by a vote of two-thirds present and voting of a duly called and elected Constitutional Convention. The manner of calling, electing, filling vacancies, and submitting and dividing questions, and the operating procedures for such convention, shall be specified in the Assembly's Operating Procedures. Any amendments initiated by such a convention shall be referred to the student body at an election. If three-fifths of those voting on an amendment approve it, the amendment shall be adopted;” AND
WHEREAS, the MSA Compiled Code of legislation exists to “exercise the powers and carry out the functions” contained in the Constitution; AND
WHEREAS, The MSA Compiled Code does not specify the manner of calling, electing, filling vacancies, and submitting and dividing questions, and the operating procedures for constitutional convention; AND
WHEREAS no other document contains all of the Assembly’s operating procedures such that compliance with Article VIII section C can be met THEREFORE BE IT
RESOLVED, that a Constitutional Convention be formed for the Fall 2009 and Winter 2010 terms under the authority of the All Campus Constitution’s Article VIII section C; AND BE IT FURTHER
RESOLVED, that this convention shall be governed by the most recent edition of Roberts Rules as of the passage of this resolution as well as by the rules and directives contained within this resolution; AND BE IT FURTHER
RESOLVED, that the convention shall consist of the following voting delegates
· 8 MSA Representatives
· 1 MSA Vice President, Convention Chair
· 1 MSA Rules & Elections Committee Chair, Convention Vice Chair
· 1 MSA Student General Counsel, Convention Secretary
· 2 Central Student Judiciary Justices including the Chief Justice
· 1 Representative from the LSA Student Government
· 1 Representative from the Rackham Student Government
· 1 Representative from UMEC
· 1 Representative from the Ross School of Business Student Government
· 1 Representative from the Law School Senate
· 1 Representative from the School of Medicine Board of Advocates
· 1 Representative from the School of Kinesiology Student Government
· 1 Representative from the School of Public Policy Student Government
· 12 Presidents of Recognized Student Organizations or their designees
· 8 Students at large; AND BE IT FURTHER
RESOLVED, that the President in consultation with the Executive Board and the Rules and Elections Committee shall nominate the MSA Representatives, Committee Chairs, Student Organization Presidents, and Students at Large within two weeks of the passage of this resolution to the Assembly for election by confirmation; AND BE IT FURTHER
RESOLVED, that the Chief Justice of the Central Student Judiciary will appoint a current justice to serve on the convention; AND BE IT FURTHER
RESOLVED, that the president / chair of each of the recognized school / college government will submit the names of their convention delegates to the Rules and Elections Committee within two weeks of the passage of this resolution; AND BE IT FURTHER
RESOLVED, that delegate vacancies created by resignation or removal shall be filled by the delegate’s appointing authority; AND BE IT FURTHER
RESOLVED, that the convention shall dissolve on the final day of classes for the Winter 2010 or on the successful majority vote of the convention, whichever comes first; AND BE IT FURTHER
RESOLVED, that a new SOAS account be created for the sole use of the convention; AND BE IT FURTHER
RESOLVED, that the Chair, Vice Chair, and Secretary of the Convention as well as the MSA President and MSA Treasurer shall be authorized signers on the Convention’s account; AND BE IT FURTHER
RESOLVED, that $300.00 be allocated from the Committee Discretionary account to the Convention account for the purpose of providing for the convention’s operating, advertising, and related expenses; AND BE IT FURTHER
RESOLVED, that a report of the Convention’s expenditures will be submitted to the Assembly by the second meeting of the Winter 2010 semester; AND BE IT FURTHER
RESOLVED, that the Convention’s mission statement is “The Constitutional Convention will review existing student governance models including funding allocation models, representative models, multiple governance models. The Convention will also seek active input from the student body as well as its own membership to draft a new all campus constitution that incorporates the best practices from its review as well as those ideals that will separate the University of Michigan’s student governance from those at its peer institutions;” AND BE IT FURTHER
RESOLVED, that the following rules shall govern the Convention:
Rule 1: The membership of the Convention shall be set by the Michigan Student Assembly. Delegates may be removed by the Convention after accruing three unexcused absences. Absences may be excused by a majority vote of the Convention or with the approval of two of the following: The Chair, The Vice Chair, or the Secretary.
Rule 2: The convention may form committees to assist in accomplishing its objective. Committee membership and leadership shall be determined by a majority vote of the Convention. Each committee shall have a Chair, Vice Chair and a minimum of 3 voting members. Committee chairs shall only vote to make or break a tie vote. Committee vice chairs shall serve as their committee’s recording secretary unless this responsibility delegated to another member of the committee by the chair.
Rule 3: The Convention’s quorum shall be set at one half (1/2) of the fixed membership, plus one for all meetings except for any meeting where a vote will be taken to place a question on either the Fall 2009 or Winter 2010 ballot. Quorum shall be two thirds (2/3) of the fixed membership for these meetings. Votes to place questions on either ballot shall require a super majority of the fixed membership to pass.
Rule 4: Debate in the convention shall be governed by Roberts Rules of Order, Newly Revised, 10th Edition
Rule 5: All official actions of the convention, its leadership, and its committees will be recorded and made available to the student body.
Rule 6: The Convention shall meet a minimum of once every two weeks during the Fall 2009 and Winter 2010 terms. Meetings will be scheduled by the Chair or by upon the request of one third (1/3) of the Convention’s delegates.
Rule 7: Meetings of the Convention and its committees shall be open to the public unless the Convention votes to move into executive session.
Rule 8: The Rules and Elections Committee (R&E) of the Michigan Student Assembly shall serve as a steering / planning board for the Convention. R&E shall set the preliminary agenda for each meeting of the Convention and shall work to ensure that the convention operates in an efficient manner. R&E shall coordinate the planning and execution of the convention’s business.
Rule 9: All expenditures from the Convention’s financial accounts will be approved by a majority vote of the Convention. Such votes may be taken electronically at the discretion of the Chair.
Rule 10: The Convention may by a 2/3rds majority vote create its own rules, policies that do not modify or violate Rules 1 through 10 or any other rules adopted by the Assembly.
AND BE IT FINALLY
RESOLVED, that the Student General Counsel shall rule all amendments to the All Campus Constitution that are presented to the Assembly to be placed on the Winter 2010 ballot out of order.
